Terms of Service — VOS Viomik Ordering System

1. Agreement

These Terms govern your access to and use of VOS Viomik Ordering System, the software-as-a-service platform that enables restaurants to accept online orders directly from their customers ("Service"). By creating an account or using the Service, you agree to be bound by these Terms.

2. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be authorized to bind any business you sign up on behalf of.

3. Subscriptions & Fees

Use of the Service requires an active monthly subscription. Optional setup add-ons are one-time fees. Subscription fees are billed in advance and are non-refundable except as required by applicable law. You may cancel at any time; cancellation takes effect at the end of the current billing period.

4. Payments to Restaurants

Customer payments for orders are processed by Stripe through Stripe Connect. Funds land in the restaurant's connected Stripe account, less Stripe's processing fees and any platform application fee disclosed at checkout. VOS is not a party to the underlying transaction between the restaurant and the customer.

5. Restaurant Responsibilities & Restaurant-Set Policies

Each restaurant on VOS sets and is solely responsible for its own policies, including refunds, cancellations, delivery, pickup, scheduling, allergens, food quality, and hygiene. These restaurant-set policies are presented to the customer at checkout and the customer must agree to them before placing an order. The customer's contract for the food order is with the restaurant, not with VOS. VOS provides the technology only and is not a party to the underlying food transaction. Restaurants are also responsible for the accuracy of their menu, prices, taxes, fulfillment, and compliance with all applicable laws (including health, labor, and tax).

6. Acceptable Use

You agree not to misuse the Service, including but not limited to: uploading unlawful content, attempting to gain unauthorized access, interfering with other users, or using the Service to sell prohibited items.

7. Intellectual Property

VOS retains all rights to the Service software, branding, and documentation. You retain ownership of your menu content, logos, and customer data. You grant VOS a non-exclusive license to host, display, and process that content solely to operate the Service for you.

8. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind. We do not guarantee uninterrupted, error-free operation. To the maximum extent permitted by law, all implied warranties are disclaimed.

9. Limitation of Liability

To the maximum extent permitted by law, VOS's aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to VOS in the twelve (12) months preceding the claim. VOS will not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

We may suspend or terminate your access for breach of these Terms, non-payment, or activity that risks harm to the Service or other users. You may terminate at any time by closing your account.

11. Changes

We may update these Terms from time to time. Material changes will be communicated by email or via the Service. Continued use after the effective date constitutes acceptance.
